Chief Dennis O. ODIFE is currently Executive
Vice Chairman of Centre-Point Merchant Bank Plc, Lagos, Nigeria. He
was previously Chairman of Centre-Point Investments Limited, and Centre-Point
Securities Limited. He pioneered the development of the second-tier
securities market of the Nigerian Stock Exchange and arranged the admission
of a majority of the indeigenous companies therein. He arranged several
mergers and in the process established some of the current standards
for merger documentation in the Nigerian Capital Market. He made the
first issue in the Federal Privatization Program in 1988 and in the
process set jointly with the TCPC the standards for all subsequent privatization
exercise. He championed advocacy for Capital Market education and reform,
for the quotation of indigenous companies on the stock market and for
unit trust development in Nigeria. He has travelled extensively and
rendered financial advice on investing in Nigeria to U.S. and European
multinationals, as well as lecturing extensively on financial matters
in Nigeria. He intervened decisively in the re-entry of the World Bank
Group into Nigeria. Chief Odife was also a consultant to the World Bank
and International Finance Corporation for the study on the review of
the Nigerian Financial System. He is a member of the Nigerian Economic
Society, British Institute of Management, Institute of Management Consultants
of Nigeria, Nigerian Institute of Management, Nigerian Stock Exchange
and Chartered Institute of Stockbrokers of Nigeria. He is author of
many publications and books, and has lectured widely. He holds an M.B.A.
in Finance and Management Science from the Graduate School of Business
and B.Sc (Hons) from the University of Lagos, as well as Dean's List
from Colombia University, New York City.

Prof. Stuart R. COHN
is currently Professor of Law at the College of Law, University of Florida.
He has lectured widely at Universities in the U.S.A., Germany and Uganda
and has accumulated a number of educational awards and honours. He has
published three books, numerous articles and other publications. Amongst
these are " Securities Counselling for New and Developing Countries
" and " Capital Market Development in Uganda ". He holds a B.A., University
of Illinois, B.A., Honours Schools of Jurisprudence, Oxford University,
LL.B., Yale Law School. >>

Prof.
Dr. Jozef OKOLSKI is currently Professor Ordinary at the Faculty
of Law and Administration, University of Warsaw, Head of the Department
of Commercial Law at the Institute of Civil Law, University of Warsaw,
Chairman of the Arbitration Tribunal at the National Chamber of Commerce
in Warsaw, Former Dean of the Faculty of Law and Administration, University
of Warsaw, Former member of the Board of the Supreme Chamber of Audit,
Advocate in Warsaw and Chairman of the Supervisory Board of STALEXPORT
SA. He has 37 years of professional experience at the position of research
and didactic worker at the University of Warsaw and was vice chancellor
of the University. He has studied abroad, acted as arbitrator in numerous
arbitrations concerning international commercial law and since 1999
is Chairman of the permanent Arbitration Tribunal at the National Chamber
of Commerce in Warsaw. He has published three books and various other
handbooks and publications. Prof. Okolski holds a Master of Laws (University
of Warsaw), PhD in Law, passed the judicial exam at the Voivodeship
Court and is a Professor of Law.
